These terms govern your use of SynNotate. By creating an account or using the service you agree to them. If you are using SynNotate on behalf of an organisation, you confirm you are authorised to accept these terms for it.
Who you are contracting with
SynNotate is provided by Celagenix Business Advisory (Pty) Ltd (t/a Celagenix Agency), registration number 2015/359792/07, VAT number 4690296332, of 4th Floor West Wing, Nelson Mandela Square, Sandton, Johannesburg, 2196. You are contracting with that company. SynNotate is part of the Celagenix group, owned by Celagenix Holdings (Pty) Ltd. A separate signed customer agreement, where one exists, prevails over these terms to the extent of any conflict.
The service
SynNotate is an operations hub for managing ventures, projects, tasks, ideas, leads, notes and files within a private workspace. We may improve, change or discontinue features over time.
Your account
- You must provide accurate registration information and keep it current.
- You are responsible for activity under your account and for keeping your password (and any two-factor authentication) secure.
- Tell us promptly at info@celagenix.com if you suspect unauthorised access.
Acceptable use
You agree not to:
- attempt unauthorised access, scraping abuse, or the introduction of malware, or otherwise interfere with the service or its infrastructure;
- use the service for unlawful content or activity, or to infringe another party’s rights;
- do anything that could harm the service, its users, or the SynNotate or Celagenix® brands.
Your content
You retain ownership of the content you put into SynNotate. You grant us only the limited licence needed to host, process, back up and display that content in order to provide the service to you and your workspace. You are responsible for your content and for having the right to use it.
Plans and billing
SynNotate offers a free trial and a paid Pro plan. Where paid plans apply, the price, billing cycle, trial terms and cancellation terms are presented to you before you subscribe and form part of these terms.
Intellectual property
The SynNotate software, and the SynNotate and Celagenix® brand assets, remain the property of Celagenix Business Advisory (Pty) Ltd and its licensors. Nothing in these terms transfers those rights to you; permission is required for any broader reproduction or redistribution.
Availability and disclaimers
We work to keep SynNotate available and reliable, but we do not guarantee uninterrupted or error-free access. To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis without warranties of any kind.
Limitation of liability
To the maximum extent permitted by law, Celagenix Business Advisory (Pty) Ltd is not liable for indirect, incidental, special or consequential losses, or for loss of profits, data or goodwill, arising out of or in connection with your use of the service. Nothing in these terms limits liability that cannot be limited by law.
Termination
You may stop using SynNotate and close your account at any time. We may suspend or terminate access if these terms are breached or where necessary to protect the service or other users. You can export your workspace data before closing your account.
Governing law and disputes
These terms are governed by the laws of the Republic of South Africa. Disputes fall under the jurisdiction of the South African courts, unless a separate signed agreement states otherwise.
Changes to these terms
We may update these terms as the service evolves or the law changes. When we make a material change we will update the date above and, where appropriate, notify you.
